Terms of Service

The terms that govern your use of Promptyx.

These Terms of Service ("Terms") govern your access to and use of the Promptyx website, application, APIs, workspaces, prompt management tools, AI prompt improvement features, billing pages, and related services (collectively, the "Service").

Promptyx is operated by Modern Enterprise, based in Kolkata, West Bengal, India ("Promptyx", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of a company, organization, client, or other entity, you represent that you have authority to bind that entity to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

You may not use the Service if doing so would violate applicable law, sanctions, export controls, contractual obligations, or the rights of others.

2. The Service

Promptyx is a SaaS platform for prompt engineering, prompt management, prompt versioning, AI-assisted prompt improvement, prompt testing, model comparison, run history, usage tracking, and related analytics.

Current or future features may include:

  • prompt storage and organization
  • workspaces and projects
  • project business requirements and design context
  • prompt versioning and history
  • AI-assisted prompt generation and improvement
  • prompt execution through third-party AI model providers
  • output comparison, evaluation, and analytics
  • billing, subscriptions, usage credits, and top-ups
  • APIs, integrations, templates, marketplace features, or collaboration features

Promptyx is evolving. We may add, modify, suspend, or remove features at any time. Some features may be released as beta, pilot, preview, experimental, or limited-access features.

Where API access is made available, additional API-specific terms, usage limits, or rate limits may apply and will be communicated through your account settings or product documentation.

3. Accounts and Security

You are responsible for:

  • keeping login credentials secure
  • all activity under your account
  • ensuring account information is accurate
  • promptly notifying us of unauthorized access or security incidents involving your account
  • ensuring users acting through your account comply with these Terms

You may not share accounts in a way that bypasses plan limits, security controls, or billing rules.

4. Workspaces, Projects, and Project Context

Promptyx may allow you to create workspaces, projects, prompts, versions, and related project context.

Project context may include business requirements, audience details, product notes, design standards, tone, formatting rules, dependencies between modules or prompts, quality criteria, and examples. You authorize Promptyx to use this project context to provide relevant prompt generation, prompt improvement, evaluation, comparison, and analytics features.

You are responsible for ensuring that project context and Customer Content are accurate, lawful, and appropriate for submission to Promptyx and any third-party AI providers used through the Service.

Promptyx currently focuses on individual accounts and workspace organization. If team collaboration or organization administration features are introduced later, additional terms or controls may apply.

5. Customer Content

"Customer Content" means prompts, prompt versions, project requirements, design notes, sample files, test data, variables, examples, outputs, notes, configurations, metadata, and other content you upload, submit, create, store, process, or generate through Promptyx.

You retain ownership of your Customer Content.

You grant Promptyx a limited, non-exclusive, worldwide, royalty-free right to host, store, reproduce, process, transmit, display, adapt, and use Customer Content solely as necessary to:

  • provide and operate the Service
  • manage workspaces, projects, prompts, versions, runs, and evaluations
  • perform AI prompt generation, improvement, execution, comparison, and evaluation requested by you
  • maintain security, reliability, backups, and abuse prevention
  • provide support and troubleshoot issues
  • enforce these Terms and comply with law

You represent and warrant that:

  • you own or have all rights and permissions needed to submit and use Customer Content
  • Customer Content does not violate law or third-party rights
  • Customer Content does not contain sensitive or regulated information unless you have the right and lawful basis to process it through the Service
  • your use of Customer Content with third-party AI providers complies with applicable provider terms

6. Third-Party AI Providers

Promptyx may send prompts, project context, files, examples, variables, test inputs, and related metadata to third-party AI providers or infrastructure providers to perform requested AI operations.

Providers may include OpenAI, Anthropic, Google Gemini, or other model providers added later.

You understand that:

  • third-party AI providers are not controlled by Promptyx
  • provider availability, latency, pricing, safety systems, output quality, and retention practices may vary
  • third-party AI providers may update, modify, rate-limit, alter, or deprecate models at any time without prior notice
  • model token costs, API prices, exchange rates, and Promptyx operational markups/margins update dynamically multiple times per day to reflect underlying computational costs
  • Promptyx reserves the right to adjust credit consumption rates or substitute deprecated models in real time
  • provider terms and policies may apply to your use of model features
  • a provider may reject, block, filter, moderate, rate-limit, or fail to process certain requests

Promptyx is not responsible for third-party provider outages, model behavior, model deprecations, provider policy changes, or outputs generated by third-party AI systems.

7. No Training by Promptyx

Promptyx does not use customer prompts, prompt versions, project requirements, uploaded files, test data, or AI outputs to train Promptyx-owned general-purpose AI models.

We may process Customer Content to provide, secure, troubleshoot, support, and improve the Service as described in our Privacy Policy.

8. AI Outputs, Suggested Prompts, and User Risk Assumption

Promptyx provides tools for prompt engineering, versioning, AI-assisted prompt generation, AI prompt modification, model evaluation, and prompt recommendations.

Use at Your Own Risk:

All AI-generated outputs, AI-suggested prompt modifications, automated prompt enhancements, model comparisons, evaluation metrics, and recommendations provided by or through Promptyx are generated by automated systems and are provided strictly at your own risk.

No Liability for Financial or Business Losses:

To the maximum extent permitted by applicable law, in the event that an AI-modified, generated, enhanced, or recommended prompt results in unexpected AI model behavior, output errors, hallucinations, data corruption, operational disruptions, reputational harm, client disputes, or financial losses for you, your business, your clients, or any third party:

  • Promptyx, Modern Enterprise, its proprietors, founders, management, officers, employees, contractors, and service providers shall not be held accountable, liable, or financially responsible for any such losses, liabilities, or damages.
  • You are solely responsible for thoroughly inspecting, testing, reviewing, validating, and auditing any modified, enhanced, or suggested prompt in a safe environment prior to relying upon it or deploying it into production.

Promptyx does not provide legal, medical, financial, accounting, tax, employment, professional, or regulatory advice.

Promptyx does not guarantee:

  • prompt optimization effectiveness across all AI models
  • output correctness, safety, or accuracy
  • prompt uniqueness or non-infringement
  • model availability or response consistency
  • prevention of model hallucinations or unexpected behavior
  • improvement in business performance, marketing results, search ranking, revenue, cost savings, or financial outcomes

9. Acceptable Use

You may use Promptyx only in a lawful, authorized, and responsible manner.

You may not use Promptyx to upload, generate, test, improve, store, or transmit content that:

  • violates any law or regulation
  • infringes copyright, trademark, trade secret, privacy, publicity, database, contractual, or other rights
  • contains malware, ransomware, spyware, credential theft, exploit code, or malicious instructions
  • facilitates phishing, impersonation, social engineering, fraud, scams, fake reviews, or deceptive outreach
  • promotes terrorism, violent extremism, unlawful violence, or material support for unlawful harm
  • sexually exploits or endangers children
  • contains unlawful hate, harassment, threats, or targeted abuse
  • unlawfully reveals personal data, confidential information, credentials, private keys, or security secrets
  • violates export controls, sanctions, restricted-party rules, or restricted-use laws

You may not use Promptyx to:

  • attack, probe, scan, exploit, disrupt, or gain unauthorized access to systems, accounts, APIs, networks, or data
  • bypass authentication, authorization, rate limits, usage limits, billing controls, model safety systems, or provider restrictions
  • scrape, harvest, copy, resell, or redistribute Promptyx content or functionality without permission
  • send spam or unauthorized bulk communications
  • generate or optimize prompts for unlawful surveillance, discrimination, manipulation, deception, or harmful profiling
  • create prompts designed to evade safety filters, moderation, security controls, or provider policies
  • reverse engineer, decompile, or attempt to extract source code except where law expressly permits
  • interfere with the security, integrity, availability, or performance of the Service

10. Restricted and High-Risk Uses

Promptyx is not designed for use as the sole basis for high-risk decisions or regulated decisions.

Unless Promptyx expressly supports such use in writing, you may not use the Service as the sole basis for decisions involving:

  • healthcare diagnosis or treatment
  • legal advice or legal rights
  • financial, credit, lending, insurance, or investment decisions
  • employment, hiring, promotion, termination, or worker evaluation
  • education admissions or evaluation
  • housing, public benefits, or essential services
  • biometric identification, surveillance, law enforcement, or public safety decisions
  • critical infrastructure, weapons, or safety-critical systems

If you use Promptyx in a regulated industry or high-risk context, you are responsible for human review, compliance review, risk assessment, documentation, and any notices or approvals required by law.

11. Sensitive Data

Promptyx does not require users to submit sensitive personal data into prompts, project context, files, notes, or general content fields.

Unless expressly supported by Promptyx, you should not submit:

  • health data
  • financial account numbers
  • payment card data outside an authorized payment checkout
  • government identification numbers
  • passwords, private keys, API secrets, or security credentials
  • children's data
  • biometric data
  • precise location data
  • highly confidential third-party business information
  • regulated personal data unless you have authority and a lawful basis

Payment card details entered through an authorized payment processor are handled by that payment provider and are not treated as general prompt or workspace content.

12. Subscriptions, Credits, and Usage Limits

Promptyx may offer free plans, free trials, paid subscriptions, usage credits, wallet balance, top-ups, or metered usage.

Subscription terms, billing cycles, usage rules, prices, taxes, included credits, plan limits, and feature access are described on our pricing pages, checkout screens, billing interface, order forms, or account pages.

Each paid subscription fee covers both platform service access and an allocated credit balance credited to your Promptyx wallet for online prompt engineering, execution, testing, and model evaluation.

Purchases of additional prepaid top-up credits require a minimum top-up of USD $5.00 and are subject to a transaction fee of USD $0.50 + 10% of the top-up amount to cover payment processing and administrative handling.

Promptyx may offer a referral program where existing users earn referral credits equal to 10% of subscription fees paid by referred customers during their first 1 year (12 months) of paid membership. Referral credits are non-cash, non-transferable, and non-refundable platform service credits credited to your wallet for platform service usage, and cannot be withdrawn or paid out in cash during active operation or upon account closure.

Usage-based features may consume credits based on model provider, prompt size, input tokens, output tokens, number of runs, evaluation features, and other usage factors.

Promotional credits:

  • are not cash
  • are not transferable
  • are not refundable
  • may expire or be revoked according to platform rules

Paid top-up balance or account credit balance does not expire due to inactivity. Suspended or closed accounts retain their paid credit balance, which remains accessible upon reactivation or refundable upon request, subject to the Billing, Cancellation & Refund Policy and applicable law.

Promotional credits may expire after a period of account inactivity or upon account suspension or closure, as described in platform rules.

13. Billing and Payment Failure

You authorize Promptyx and its payment providers to charge amounts due for subscriptions, renewals, top-ups, usage-based features, taxes, and fees.

If payment fails:

  • we may retry the payment
  • we may request updated payment information
  • we may suspend, downgrade, restrict, or cancel paid access
  • we may provide a short grace period where appropriate

You are responsible for applicable taxes, duties, levies, and transaction fees unless stated otherwise.

14. Cancellation and Refunds

You may cancel your subscription according to the process described in your billing settings or our Billing, Cancellation & Refund Policy.

  • Monthly Subscriptions: Monthly subscription charges are strictly non-refundable upon cancellation.
  • 6-Month & Annual Subscriptions: Cancellations requested within the first 20 calendar days of initial purchase are eligible for a pro-rated subscription fee refund covering the unexpired remaining months (5 months for 6-month plans, 11 months for annual plans; the first month's fee is retained by Promptyx). After 20 calendar days, multi-month subscription fees become non-refundable.
  • Processing Costs on Approved Refunds: To the maximum extent permitted by applicable law, approved refunds may be reduced by actual non-recoverable payment processing, currency conversion, bank settlement, tax, and administrative costs, capped at 20% of the refundable amount. This deduction does not apply to refunds resulting directly from duplicate billing caused by Promptyx, technical errors caused by Promptyx systems, failure by Promptyx to provide the purchased service, or where mandatory consumer protection law requires a full refund without deduction.

Where mandatory consumer protection laws provide non-waivable cancellation, refund, cooling-off, or withdrawal rights, those laws will apply.

15. Intellectual Property

The Service, including the Promptyx name, branding, software, design, workflows, interfaces, documentation, templates, site content, and related materials, is owned by Promptyx, Modern Enterprise, or licensors and is protected by intellectual property laws.

Except for rights expressly granted in these Terms, no rights are granted to you.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly permitted.

16. Feedback

If you provide ideas, suggestions, bug reports, feature requests, or feedback, you grant Promptyx the right to use that feedback without restriction or compensation, provided we do not identify you publicly without your permission.

17. Third-Party Services

The Service may depend on third-party services, including AI providers, cloud hosting, analytics tools, payment processors, email services, security vendors, and integrations.

Your use of third-party services may be subject to those third parties' terms, privacy policies, data processing terms, and usage policies.

Promptyx is not responsible for third-party services.

18. Suspension and Termination

We may suspend, restrict, or terminate access to the Service if:

  • you violate these Terms or other policies
  • payment is overdue or fails
  • your use creates legal, security, operational, reputational, or provider-policy risk
  • we are required to do so by law or third-party provider requirements
  • your account is involved in fraud, abuse, prohibited content, or unauthorized access

You may stop using the Service at any time.

After termination, we may delete, retain, anonymize, or restrict data according to our Privacy Policy, retention practices, legal obligations, backup systems, billing records, and dispute needs.

19. Service Availability and Changes

We aim to provide a reliable Service, but we do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

We may perform maintenance, modify features, impose limits, change providers, update models, adjust pricing, or discontinue parts of the Service.

Where practical, we may provide notice of material changes that significantly affect paid users.

20. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTYX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

PROMPTYX DOES NOT WARRANT THAT PROMPTS WILL BE OPTIMIZED FOR EVERY MODEL, THAT AI OUTPUTS WILL BE CORRECT, OR THAT USING THE SERVICE WILL ACHIEVE ANY SPECIFIC BUSINESS RESULT.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTYX, MODERN ENTERPRISE, ITS PROPRIETORS, FOUNDERS, MANAGEMENT, OFFICERS, EMPLOYEES, CONTRACTORS, VENDORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY FINANCIAL LOSSES, LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, DEPLOYMENT OR USE OF MODIFIED OR SUGGESTED PROMPTS, MODEL OUTPUT ERRORS, CUSTOMER CONTENT, OR THIRD-PARTY SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO PROMPTYX IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR USD 100 IF YOU HAVE NOT PAID ANY AMOUNT.

Some jurisdictions do not allow certain limitations. In those jurisdictions, limitations apply only to the maximum extent permitted by law.

22. Indemnity

You agree to indemnify and hold harmless Promptyx, Modern Enterprise, its proprietors, officers, affiliates, personnel, contractors, vendors, and service providers from claims, liabilities, damages, losses, and expenses arising out of:

  • your Customer Content
  • your project context, prompts, files, inputs, or outputs
  • your use or misuse of the Service
  • your violation of these Terms
  • your violation of law or third-party rights
  • your use of third-party AI providers through Promptyx

23. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law, disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts in West Bengal, India.

Nothing in these Terms limits mandatory consumer protection rights that cannot be waived under applicable law.

We encourage you to contact us at admin@promptyx.tech before initiating any formal legal proceedings. Many concerns can be resolved quickly and fairly through direct communication, and we are committed to addressing issues in good faith.

24. Changes to These Terms & Notification Method

We may update these Terms, platform policies, features, credit consumption rates, or operational rules from time to time as deemed necessary for platform operations, compliance, or provider changes.

  • In-App & Platform Notice: When changes occur, we will provide notice by updating the "Last Updated" date on this document, posting an In-App notification message, or displaying an alert in your user dashboard or product interface. Promptyx is not obligated to issue individual email notifications for routine terms updates, dynamic credit rate adjustments, or markup changes.
  • Acceptance: Your continued access to or use of the Service after updated Terms or In-App notifications are published constitutes your acceptance of the modified Terms and operational rates.
